The word "lean" in lean contracting refers to the "lean thinking" management framework that arose from the study of Toyota and its system for making automobiles. Though its initial focus was on mass production manufacturing, it has been applied in a wide variety of other contexts, including construction and project management -- two contexts from which the principles and practices of lean thinking heavily inform lean contracting.

The focus of lean contracting can be very different as for a high-volume contracting team in a large corporation than the more likely focus of an individual or small business. In the former case, standards for frequently recurring types of deals (such as procurement and sales) are usually well-established, and the focus tends to be on increasing deal throughput and decreasing dealmaking turnaround time. Even so, opportunities to dramatically enhance deal quality are often missed. The prevailing need for an individual or small business tends to improve the substance of the deal so that the parties are better able to fulfill their expectations for the relationship. In both cases, increasing total deal value is the name of the game, and protection of the deal itself is always in play.
